Terms of Service

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Spenfai. By using the platform, you represent that you meet this requirement and that you have the authority to bind any business entity on whose behalf you are using the platform.

2. Account registration

You must register an account to access most Spenfai features. You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

If you suspect unauthorized access to your account, notify us immediately at legal@spenfai.app.

3. Acceptable use

You agree not to use Spenfai to:

• Sell illegal goods or services, or engage in fraudulent transactions.
• Violate the intellectual property rights of third parties.
• Distribute malware, spam, or unsolicited messages to customers without their consent.
• Circumvent, disable, or interfere with platform security features.
• Scrape, crawl, or systematically access platform data without authorization.
• Impersonate another person, business, or entity.
• Violate any applicable local, national, or international law or regulation.
• Use the platform in a way that causes harm to other merchants, customers, or Spenfai itself.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

4. Your store and content

You retain ownership of all product listings, campaign content, and other data you upload to Spenfai ("Your Content"). By uploading Your Content, you grant Spenfai a limited, non-exclusive license to store, display, and process it solely to operate and improve the platform.

You are solely responsible for Your Content and for ensuring it complies with applicable laws and does not infringe third-party rights. Spenfai is not responsible for the accuracy, legality, or appropriateness of Your Content.

5. Payments and billing

Spenfai offers free and paid plans. Paid plan fees are billed monthly or annually as selected. All payments are processed via Paystack. Prices are displayed in Nigerian Naira (NGN) with USD equivalents shown for reference.

Storefront transaction fees are charged by Paystack per their standard pricing and are separate from Spenfai subscription fees. You are responsible for any taxes applicable to your transactions.

Plan downgrades take effect at the end of the current billing cycle. Upgrades take effect immediately. We do not offer refunds for subscription fees already paid, except as required by applicable law.

6. Customer data and transactions

When customers place orders through your Spenfai-powered storefront, you act as the seller and assume responsibility for fulfilling orders, handling returns, and managing disputes. Spenfai provides the infrastructure but is not a party to transactions between you and your customers.

You agree to maintain a lawful and transparent relationship with your customers, including providing accurate product descriptions, pricing, and delivery estimates.

7. Platform availability and changes

We aim for high availability but do not guarantee uninterrupted access to Spenfai. Planned maintenance may cause temporary downtime; we will communicate this where reasonably possible.

We reserve the right to modify, add, or remove platform features at any time. We will endeavor to give notice of significant changes. Continued use of the platform after changes constitutes acceptance.

8. Intellectual property

Spenfai, its logo, design system, and all platform code and content are the property of Spenfai and are protected by copyright and trademark law. You may not copy, modify, or distribute any part of the platform without our written permission.

9. Disclaimers and limitation of liability

Spenfai is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties including fitness for a particular purpose and non-infringement.

In no event shall Spenfai be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from your use of or inability to use the platform. Our aggregate liability to you for any claims shall not exceed the greater of (a) the amount you paid us in the 3 months preceding the claim or (b) ₦10,000.

10. Indemnification

You agree to indemnify and hold harmless Spenfai, its officers, and its employees from any claims, damages, or expenses (including legal fees) arising from your use of the platform, Your Content, or your violation of these Terms.

11. Termination

You may close your account at any time by contacting support. We may suspend or terminate your account for violations of these Terms, non-payment of fees, or prolonged inactivity, with or without notice.

Upon termination, your access to the platform ceases immediately. We will retain your data for 30 days after account closure to allow recovery, then delete it in accordance with our Privacy Policy.

12. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in Nigerian courts, unless otherwise required by applicable law in your jurisdiction.

13. Changes to these Terms

We may update these Terms at any time. We will notify registered users by email of material changes and update the effective date above. Continued use of Spenfai after the updated Terms take effect constitutes your acceptance.
